Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you and iMiLa Cabinet Studio ("we," "us," or "our"), concerning your access to and use of our website and services. By accessing or using the site, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the site and must discontinue use immediately.
Intellectual Property Rights
Unless otherwise indicated, the site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us. The Content and the Marks are protected by copyright and trademark laws. Except as expressly provided in these Terms, no part of the site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever without our express prior written permission.
User Representations
By using the site, you represent and warrant that: (a) all registration information you submit will be true, accurate, current, and complete; (b) you will maintain the accuracy of such information and promptly update it as necessary; (c) you have the legal capacity and agree to comply with these Terms; (d) you are not a minor in the jurisdiction in which you reside; (e) you will not access the site through automated or non-human means; and (f) you will not use the site for any illegal or unauthorized purpose.
Products and Services
All products, designs, and services displayed on the site are subject to availability. We reserve the right to discontinue any product or service at any time. Prices for all products are subject to change without notice. We make every effort to display as accurately as possible the colors and features of our products. However, we do not guarantee that your computer monitor's display of any color will be accurate. Custom orders, including cabinetry, millwork, and fitted solutions, are subject to separate written agreements and project-specific terms.
Quotations and Orders
Quotations provided through the site or via direct communication are valid for the period stated on the quotation or, if no period is stated, for thirty (30) days. Placement of an order constitutes an offer to purchase. We reserve the right to refuse or cancel any order for any reason, including inaccuracies or errors in product or pricing information. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the site.
Payment Terms
Payment terms for custom projects and products are set out in your quotation or project agreement. Unless otherwise agreed in writing, a deposit may be required to commence production. Full payment terms, including any milestone payments, will be clearly communicated before work begins. All fees are quoted in Canadian Dollars (CAD) unless otherwise specified and are exclusive of applicable taxes, which will be added to the invoice total.
Delivery and Installation
Delivery and installation timelines are estimates and commence from the date of confirmed order and receipt of required deposits. We are not liable for delays caused by circumstances beyond our reasonable control, including but not limited to supply chain disruptions, shipping delays, or site readiness issues. Installation services, where provided, are subject to site conditions being suitable and safe for our installation teams.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall iMiLa Cabinet Studio, its directors, employees, or agents be liable for any direct, indirect, consequential, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our services. Our total liability to you for all damages shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.
Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (a) your use of the site; (b) your breach of these Terms; (c) any breach of your representations and warranties set forth in these Terms; and (d) your violation of the rights of a third party.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the site shall be instituted exclusively in the courts of British Columbia.
Changes to These Terms
We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the site after the date such revised Terms are posted.
